2. Materials Declaration Requirements

3.7.1 Kin Yat shall comply with all Materials Declaration Requirements for any and all third party suppliers supplying Components that are used in the Manufacturing Services. Kin Yat shall obtain, maintain and have available for inspection at all times a document which confirms that all third suppliers and their components are in conformity with the applicable Material Declaration Requirements. Kin Yat shall be solely accountable for the quality and completeness of the verification.

4.2.1 Kin Yat shall use only materials and components that have been approved by iRobot for the Manufacturing Services in accordance with the Specifications and any specifications, engineering changes or amendments thereto. Kin Yat shall be responsible for collecting, retaining and ensuring that it is always available for inspection by iRobot or its designee any documentation that indicates that all of its third supplier partners are in compliance with the applicable Material Declaration Requirements.

4.2.2 Kin Yat shall monitor and annually report to iRobot the percent of Purchase Orders completed on time, as per iRobot's definition of On-time, which includes delivering all components, materials and products ordered for delivery by iRobot within the Lead Time, plus any shipping dates that are required as specified in the applicable Specifications for Products. Kin Yat must also maintain documents of all Supplier Quality Assurance testing and evaluations.
