2. Materials Declaration Requirements.

3.7.1 Kin Yat will comply with all Materials Declaration requirements for all third party suppliers who provide components to the Manufacturing Services. Kin Yat must obtain, maintain and have available at all times the documentation that demonstrates compliance of all third party suppliers with the applicable Material Declaration requirements. Kin Yat shall be solely responsible for the accuracy and sufficiency of such verification.

4.2.1 Kin Yat shall use only materials and components that have been approved by iRobot for the Manufacturing Services in accordance with the Specifications, including any engineering changes, specifications or amendments to them. Kin Yat is responsible for collecting and retaining all documentation indicating compliance by its third-party suppliers to the Material Declaration Requirements.

4.2.2 Kin Yat shall monitor and annually report to iRobot the percentage of Purchase Orders delivered on time, based on the definition of On-time used by iRobot which includes the delivery of all materials, parts and products ordered for delivery by iRobot within the Lead Time and any shipping dates that are required as specified in the relevant Specifications for the Product. Kin Yat must also maintain records of all Supplier Quality Assurance testing and evaluations.
